Terms and Conditions for Cascade Digital Marketing

These Terms and Conditions govern your use of Cascade Digital Marketing’s services and your relationship with our agency. By engaging our services, scheduling a consultation, or entering into a service agreement with Cascade Digital Marketing, you agree to comply with and be bound by these terms.


1. Services Provided

  • Marketing Services: Cascade Digital Marketing provides strategic marketing services for professional services firms, including but not limited to: Marketing Strategy & Research, Web Design & SEO, Digital Advertising, Content Marketing, Email Marketing, Social Media Management, and Branding.
  • Customized Solutions: Services are tailored to each client’s specific business needs and goals as outlined in individual service agreements.
  • Required Foundation: All new clients begin with our Marketing Strategy & Research phase to establish a data-driven foundation before implementing tactical services.
  • Service Delivery: Services are delivered digitally through email, project management platforms, direct implementation on client platforms, and scheduled consultations.

2. Service Agreements

  • Written Agreements: All service engagements are governed by a written service agreement that outlines scope, deliverables, timelines, and investment.
  • Binding Contract: The service agreement, along with these Terms and Conditions, constitutes the entire agreement between Cascade Digital Marketing and the client.
  • Agreement Priority: In case of conflict between these Terms and Conditions and a specific service agreement, the service agreement takes precedence.
  • Amendments: Any changes to the service agreement must be made in writing and signed by both parties.

3. Payments and Fees

  • Payment Terms: Payment terms are outlined in your specific service agreement and typically include:
    • Initial strategy investment or project deposit
    • Monthly retainer fees (billed at the beginning of each month)
    • Project milestone payments
    • Ad spend budgets (paid separately to advertising platforms)
  • Timely Payment: Payments must be received by the due date to maintain uninterrupted service. Late payments may result in service suspension and late fees.
  • Payment Methods: We accept payment via credit card, ACH transfer, check, or other methods as agreed upon.
  • Auto-Renewal: Monthly retainer services automatically renew each month unless canceled with proper notice.
  • Non-Refundable Fees: Setup fees, strategy investments, deposits, and fees for completed work are non-refundable as outlined in our Refund Policy.

4. Client Responsibilities

To ensure successful service delivery, clients agree to:

  • Access and Information: Provide timely access to necessary platforms, accounts, credentials, and business information required for service delivery.
  • Timely Feedback: Review and approve deliverables within agreed timeframes (typically 5-7 business days) to prevent project delays.
  • Communication: Maintain active, responsive communication with the Cascade team and designate a primary point of contact with decision-making authority.
  • Content and Materials: Supply required content, images, videos, and other materials by agreed deadlines, ensuring all materials are properly licensed.
  • Collaboration: Participate in scheduled meetings, strategy sessions, and reviews as outlined in the service agreement.
  • Non-Interference: Avoid making significant changes to managed services (websites, ad campaigns) without prior consultation, which may negatively impact performance.
  • Honesty and Accuracy: Provide accurate information about your business, industry, competitors, and target audience.

5. Intellectual Property and Ownership

  • Client-Owned Deliverables: Upon full payment, clients own the final deliverables created specifically for their business, including website design, content, advertising creative, and published materials.
  • Cascade Property: Cascade Digital Marketing retains ownership of:
    • Proprietary research methodologies and frameworks
    • Custom AI algorithms and tools
    • Strategic planning templates and systems
    • Internal processes and documentation
    • Pre-existing materials and resources
  • Work in Progress: Until full payment is received, all work product remains the property of Cascade Digital Marketing and may not be used, copied, or transferred without written consent.
  • Third-Party Licenses: Some services include third-party software, tools, or platforms with separate licensing terms. Clients are responsible for maintaining necessary licenses.
  • Portfolio Rights: Cascade Digital Marketing reserves the right to showcase work performed for clients in our portfolio, case studies, and marketing materials unless otherwise specified in writing.
  • Client Trademarks: Clients grant Cascade limited license to use their trademarks, logos, and brand materials solely for providing agreed services.

6. Confidentiality

  • Mutual Confidentiality: Both parties agree to maintain confidentiality of proprietary information, business strategies, customer data, and sensitive information shared during the engagement.
  • Permitted Disclosures: Confidential information may be disclosed as required by law or with written consent of the other party.
  • Survival: Confidentiality obligations survive termination of the service agreement.

7. Performance and Results

  • Best Efforts: Cascade Digital Marketing will use professional expertise, proven methodologies, and best practices to deliver quality services aimed at achieving agreed-upon goals.
  • No Guarantees: While we achieve significant results for many clients (10X+ ROAS, 50-100% conversion improvements), we cannot guarantee specific outcomes, rankings, leads, or revenue results due to factors outside our control.
  • Variable Factors: Marketing performance depends on numerous variables including industry, competition, market conditions, budget, client collaboration, and third-party platform changes.
  • Transparent Reporting: We provide honest, data-driven reporting on campaign performance and results through monthly accountability reports.

8. Account Suspension or Termination

Cascade Digital Marketing reserves the right to suspend or terminate services if:

  • Non-Payment: Payments are not received within 15 days of the due date.
  • Policy Violations: Client violates these Terms and Conditions, the service agreement, or other policies.
  • Interference: Client interferes with delivered work, managed campaigns, or services in ways that undermine performance or strategy.
  • Misrepresentation: Client provides false information or misrepresents their business, industry, or intentions.
  • Abusive Behavior: Client engages in abusive, threatening, or inappropriate behavior toward Cascade team members.
  • Illegal Activity: Client requests services that violate laws, regulations, or platform policies.

Upon termination:

  • Client receives final deliverables for completed work
  • No refunds provided for work performed or current billing period
  • Access to managed platforms and services discontinued
  • Final invoice issued for outstanding work and expenses

9. Service Cancellation

  • Client Cancellation: Clients may cancel ongoing monthly services with 30 days written notice as outlined in the service agreement.
  • No Refunds: Cancellation does not entitle client to refunds for the current billing period, setup fees, strategy investments, or completed work.
  • Services Continue: Services continue through the end of the 30-day notice period.
  • Project Completion: Project-based work in progress must be paid for based on work completed to date.

10. Limitation of Liability

  • Service Limitations: Cascade Digital Marketing’s liability is limited to the amount paid by the client for services in the 12 months preceding the claim.
  • Indirect Damages: Cascade Digital Marketing is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost business opportunities.
  • Third-Party Issues: We are not responsible for failures or issues caused by third-party platforms, services, or tools outside our control.
  • Client Actions: We are not liable for damages resulting from client’s failure to follow recommendations, provide required information, or maintain their own systems.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.

11. Warranties and Disclaimers

  • Professional Standards: Services are provided using professional standards and industry best practices.
  • No Warranty of Results: Services are provided “as is” without warranty of specific results, outcomes, or performance metrics.
  • Platform Changes: We are not responsible for changes to third-party platforms (Google, Meta, LinkedIn) that affect campaign performance.
  • Compliance: Client warrants they have the legal right to use all materials provided and that their business complies with applicable laws.

12. Indemnification

Client agrees to indemnify and hold harmless Cascade Digital Marketing from any claims, damages, or expenses arising from:

  • Client’s breach of these Terms and Conditions or service agreement
  • Client’s violation of laws, regulations, or third-party rights
  • Content, materials, or information provided by client
  • Client’s use of services in violation of platform policies

13. Dispute Resolution

  • Good Faith Negotiation: Both parties agree to attempt resolution of disputes through good faith negotiation before pursuing legal action.
  • Governing Law: These Terms and Conditions are governed by the laws of the State of Washington.
  • Jurisdiction: Any legal action must be brought in the courts of Pierce County, Washington.
  • Legal Fees: Prevailing party in any dispute is entitled to reasonable attorney fees and costs.

14. Changes to Terms

  • Right to Modify: Cascade Digital Marketing reserves the right to update or modify these Terms and Conditions at any time.
  • Notification: Material changes will be communicated via email or posted on our website at least 30 days before taking effect.
  • Continued Use: Continued use of services after changes take effect constitutes acceptance of updated terms.
  • Current Version: The most current version is always available at www.askcascade.com/terms-and-conditions

15. General Provisions

  • Entire Agreement: These Terms and Conditions, together with the service agreement, constitute the entire agreement between parties.
  • Severability: If any provision is found unenforceable, remaining provisions remain in full effect.
  • No Waiver: Failure to enforce any provision does not constitute waiver of that provision.
  • Assignment: Client may not assign or transfer the service agreement without written consent. Cascade may assign to affiliates or successors.
  • Independent Contractor: Cascade Digital Marketing is an independent contractor, not an employee or partner of client.
